Terms of Service

These Terms of Service ("Terms") govern your use of OpenSpace (openspace.co.nz), operated by OpenSpace NZ ("we", "us", "our"). By creating an account or using the platform you agree to these Terms.

1. What OpenSpace does

OpenSpace is an online marketplace that connects homeowners and property owners ("Clients") with tradespeople ("Tradies") in New Zealand. We provide the platform and tools to facilitate this connection — we are not a party to any contract between a Client and a Tradie, and we do not guarantee the quality, legality, or timeliness of any work performed.

2. Eligibility

You must be at least 18 years old and based in New Zealand to use OpenSpace. By registering, you confirm that the information you provide is accurate and current.

3. Tradie accounts

Tradies may create a profile and list their services. You are responsible for ensuring that:

• All information on your profile is accurate and not misleading
• You hold any licences, registrations, or insurance required by New Zealand law for the work you undertake
• You comply with all applicable consumer protection and employment laws

We reserve the right to remove or deactivate profiles that contain false information or that breach these Terms.

4. Client accounts

Clients may post jobs free of charge. You agree to provide accurate information about the work required and to deal fairly and honestly with tradies who express interest in your job.

5. Connections and contact details

When a Client accepts a Tradie's interest in a job, both parties receive each other's contact details directly. From that point, the engagement is entirely between the Client and Tradie. OpenSpace is not responsible for any disputes, damages, or losses arising from that relationship.

6. Prohibited conduct

You must not:

• Post false, misleading, or defamatory content
• Use the platform for any unlawful purpose
• Harass, threaten, or abuse other users
• Attempt to circumvent the platform to avoid future fees (once paid tiers are introduced)
• Scrape, copy, or reproduce platform content without permission

7. Fees and subscriptions

OpenSpace is currently free for all users while the platform is in its launch phase. We will give at least 30 days' notice before introducing any paid plans. Founding member tradies who joined during the free period will receive the benefits described in their welcome email.

8. Intellectual property

Content you upload (photos, descriptions) remains yours. By uploading it you grant OpenSpace a licence to display it on the platform. You must not upload content that infringes third-party intellectual property rights.

9. Limitation of liability

To the maximum extent permitted by New Zealand law, OpenSpace's liability to you for any claim arising out of or related to these Terms or use of the platform is limited to the fees (if any) you paid to us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential losses.

10. Dispute resolution

Disputes between Clients and Tradies are solely between those parties. If you have a complaint about the platform itself, contact us at bryan@openspace.co.nz and we'll work with you to resolve it.

11. Changes to these Terms

We may update these Terms from time to time. We will notify registered users by email of material changes. Continued use of the platform after changes take effect constitutes acceptance of the new Terms.

12. Governing law

These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.
